  • Search Engine Optimization (SEO) Service Agreement
  • (hereinafter referred to as “Client”)
  • MM slash DD slash YYYY
  • in the search engines that are most frequently used by the general public (example; Google).
  • as stated above or in proposal/meeting. Each monthly fee must be received prior to the start of any services provided. SEO Services are intended to provide the client with preferential positioning in major search engines (e.g. Google), increase exposure, and drive targeted online traffic to the Client's website.

    SEO Services may include (but are not limited to):

    ● Research keywords and phrases to select appropriate, relevant search terms. Number of keywords is listed in the Proposal. Additional keyword purchases will require Addendum or separate contract.

    ● Edit various html tags and page text as necessary for best SEO practices.

    ● Analysis and recommendations on optimal website structure, navigation, code, etc. for best SEO purposes.

    ● Create as required, additional web pages for the purpose of “catching” keyword/phrase searches.

    ● Link acquisition and various other off-page strategies as discussed in proposal and/or meeting.

    ● Create ranking reports for main site and any associated pages showing rankings in the major search engines and under which keywords.

  • * Continues month-to-month thereafter. Any necessary restructuring of agreement to be discussed at the end of the initial contract time frame.
    * If business is forced to shut down due to COVID-19 before contract time is up, we will allow you to pause and start back up again once business is allowed to reopen.
  • 3. For the purposes of receiving these services, client agrees to provide:

    ● Give “Company” access to the main site, nameservers, and registrars for uploading new pages, and making changes for the purpose of optimization OR approval to go through 3rd Party.

    ● Client authorizes “Company” use of all client logos, trademarks, Web site images, etc., for use in creating informational pages and any other uses as deemed necessary by “Company” for search engine positioning and optimization.

    ● If Client’s site is light in textual content, client will provide additional relevant text content in electronic format for the purpose of creating additional web pages. For example, 300 to 500 word articles about each of their keyword phrases. Company can create site content at additional cost to the Client. If Client is interested in purchasing content from Company, please contact Company for a cost estimate.

    4. Client acknowledges the following with respect to SEO:

    ● “Company” has no control over the policies of search engines with respect to the type of sites and/or content that they accept now or in the future. Client site may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory. (“Company” will attempt resubmit/index those pages that have been dropped from the index in case of this happening.)

    ● Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms, and other variables outside our control, “Company” does not guarantee #1 position for any particular keyword, phrase or search term.

    ● Major search engines have been known to hinder or lower the rankings of new websites (or pages) until they have proven their viability to exist for a certain period of time, usually one year. This is often referred to as the "Sandbox" effect. Company assumes no liability for ranking/traffic/indexing issues related to sandbox, or any other penalties that are out of our control.

    ● Occasionally, search engines will drop listings for no apparent or predictable reason. Additionally rankings do bounce around frequently. Often listing will “reappear” without any additional SEO, submissions or anything else being done. Should the listing not reappear, “Company” will re-submit the site based on the current policies of the search engine in question.

    ● Linking to "bad neighborhoods" or getting links from them can seriously damage all SEO efforts. Company does not assume liability for the Client’s choice to link to or obtain a link from any particular website without prior consultation.

    ● In the event of a cancellation of services, written notice must be given before the next months payment is charged.

    ● Due to the nature of the work all SEO fees are non-refundable.

    ● All fees, services, documents, recommendations, and reports are confidential.

    5. The “Company” is not responsible for changes made to the Web site by Client or other parties that adversely affect the search engine rankings of the Client’s Web site.

    6. Additional Services not listed herein or in Proposal will be provided for $150 per hour. For example, copywriting, content creation, creating satellite sites, etc...

    7. Client guarantees any elements of text, graphics, photos, designs, trademarks, or other artwork provided to “Company” for inclusion on the website above are owned by Client, or that Client has received permission from the rightful owner(s) to use each of the elements, and will hold harmless, protect, and defend “Company” and its subcontractors from any liability or suit arising from the use of such elements.

    8. “Company” is not responsible for Client’s overwriting SEO work to Client’s site. For example, Client webmaster making changes or uploading over work already provided. Client will be charged an additional fee for re-constructing content or anything else the Client overwrites based on the hourly rate of $150/hour.
